Corporate Business Attorneys

Corporate law is one of the few growth areas in the legal business. A corporate business attorney may be hired by a law firm or by a large company to operate in house.

Corporate attorneys need to know all of the laws that affect a company. They also need to have a good sense of business. They need to understand the requirements of incorporation, registration and licenses for small businesses. They also need to understand about mergers and anti trust cases. Also, they may end up as a litigator or defending from litigation. Often, they need to understand patent law as well as contracts. They need to know what records to keep and advise the company to keep. They also need to know how to fill out various required forms.

Those that work for a law firm, start as associates and can work up to becoming a partner. They work for businesses on a contract basis. Some firms may specialize in working for non profit organizations, others may do that work occasionally. They sometimes even work for free, which is also known as pro bono. In-house legal departments are generally managed similarly to other departments in the company.

Like all lawyers, they need to understand attorney-client privileges. In-house lawyers may have further restrictions placed on them as part of their employment agreement. In both cases, they need the ability to work with appropriate people within the company. For example, tax lawyers may spend quite a bit of time with the accounting department.

An understanding of both legal and commercial ethics is also important. Like all lawyers, an undergraduate degree is needed, followed by three years of law school. Corporate lawyers also need to pass the bar.

It is, however, a good area of law to become involved in, with significant career prospects.

If you run a corporation or a non-profit organization, then you might need the services of a corporate business attorney. Corporate business attorneys should be familiar with state and federal laws that govern how organizations are run. This often includes subjects regarding taxes, LLC registration, anti trust agreements, incorporation, contracts, mergers, records, licenses, and partnerships. There are several questions that you can ask to help you determine which corporate business attorney can give you the services that you need. Make sure that the attorney graduated from an accredited law school and is current with the Bar Association and is familiar with its ethics. Ask them how long they have been practicing law. Those with several years of experience are usually more familiar with the details of state and federal laws that apply to corporations and non profit organizations. Ask them if they operate on their own or if they are part of a firm. A lot of corporations choose to use law firms because it gives them access to the firm's partners. Since these partners are often experts in different subjects, this gives them access to the best legal council and litigators. Ask the company what office hours it keeps and what the best way to contact them is. This way you will always know where to reach them if you have questions concerning partnerships, records, registration, and taxes. Ask them for quotes for the different services they offer. Some of them might charge hourly rates for setting up partnerships between organizations and going through tax forms, but they might have a flat fee for some services.
